Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the Webnex website and any design or development services you purchase from us ("Services"). By requesting a quote, placing an order, or engaging us for a project, you agree to be bound by these Terms.
If you're accepting these Terms on behalf of a company, you confirm you have the authority to bind that company. If you do not agree to these Terms, please do not use our Services.
Our Services
Webnex designs and builds websites on a one-time-fee basis across three tiers — Starter (landing pages), Growth (business websites), and Scale (custom projects, quoted individually). Exact scope, deliverables, and delivery timelines for your project are confirmed in writing (email or a project brief) before work begins.
Any feature, page, or integration not listed in your confirmed scope is considered out of scope and will be quoted separately if you'd like it added.
Orders & Payment
- All prices are quoted as one-time fees in the currency shown at checkout or in your project brief — there are no recurring subscription charges from us for the website build itself.
- Standard payment structure is 50% upfront to begin work and 50% on delivery, unless a different schedule is agreed in writing. Scale projects may use a 3-part payment plan.
- Work begins only after the initial payment is received and any required brand assets or content are provided.
- Prices for add-ons (SEO, copywriting, maintenance, etc.) are as listed on our Pricing page at the time of order, or as separately quoted for custom work.
- You are responsible for any third-party costs your project requires — domain registration, hosting, premium plugins/fonts/stock imagery, or paid API usage — unless explicitly included in your package.
Project Timeline & Delivery
Delivery estimates (e.g. 5–7 days for Starter, 7–14 days for Growth, 14–21 days for Scale) begin once we have everything we need from you — final content, brand assets, and any approvals requested during the process. Delays in providing these will shift the delivery date accordingly.
We'll keep you updated at each milestone and flag promptly if anything on our end affects the timeline.
Revisions Policy
- Starter includes 3 rounds of revisions on the agreed scope.
- Growth and Scale include unlimited revisions until you're satisfied, within the original agreed scope.
- Requests that go beyond the original scope (new pages, new features, a full design direction change after approval) are treated as new work and quoted separately.
Intellectual Property & Ownership
Once your project is paid in full, you own the final website design, source code, and content we created specifically for you, and we hand it over on delivery.
- You retain ownership of any content, logos, trademarks, or media you provide to us — we use it only to build your project.
- Webnex retains the right to use non-confidential elements of completed projects (screenshots, descriptions) in our own portfolio and marketing, unless you request otherwise in writing.
- Third-party assets used in your project (stock photography, fonts, plugins, libraries) remain subject to their own licenses; we'll flag any that require separate licensing on your part.
- Until full payment is received, all deliverables remain the property of Webnex.
Client Responsibilities
To keep your project on schedule and functioning as intended, you agree to:
- Provide accurate content, brand assets, and timely feedback during the build process.
- Ensure you have the rights to any content, images, or trademarks you ask us to use.
- Review and approve deliverables at each milestone within a reasonable time.
- Keep any login credentials, hosting, or domain access we require secure and provide them when needed.
Refunds & Cancellations
- If you cancel before work begins, your upfront payment is refunded in full, minus any payment-processing fees already incurred.
- If you cancel after work has started, you'll be invoiced for work completed to date; any remaining balance of your upfront payment is refunded.
- Once a project is delivered and the final payment is made, fees are non-refundable — our unlimited-revisions policy (Growth/Scale) and 3-round policy (Starter) exist specifically to make sure you're happy before that point.
- If we're unable to deliver the agreed scope due to a failure on our part, we will offer a partial or full refund at our discretion.
Warranties & Disclaimers
We warrant that our Services will be performed with reasonable skill and care, and that delivered websites will function as specified in your confirmed scope at the time of handoff.
Beyond that, our Services and any deliverables are provided "as is." We do not guarantee specific business outcomes — traffic, conversion rates, search rankings, or revenue — since these depend on factors outside our control, including your content, market, and ongoing maintenance.
Limitation of Liability
To the maximum extent permitted by law, Webnex's total liability arising from any project or these Terms will not exceed the amount you paid us for that project. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost data, arising from your use of the delivered website or our Services.
Nothing in these Terms limits liability that cannot be limited under applicable law.
Termination
Either party may terminate an active project by written notice if the other party materially breaches these Terms and fails to fix it within a reasonable period after being notified. Sections relating to payment for work completed, ownership, and limitation of liability survive termination.
Indemnification
You agree to indemnify and hold Webnex harmless from any claims, damages, or expenses arising from content or materials you provided us, your misuse of the delivered website, or your violation of these Terms or applicable law.
Governing Law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any disputes will be subject to the exclusive jurisdiction of the courts located in India, unless otherwise required by applicable consumer-protection law.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services or for legal reasons. We'll post the revised version here with an updated effective date. Changes do not apply retroactively to projects already in progress under a signed agreement.
